Reseller Program Terms

By registering as a reseller, or by using a reseller referral code, you agree to be bound by these Reseller Program Terms, in addition to our Terms of Service and Privacy Policy. Capitalized terms not defined here have the meanings given in the Terms of Service.

1. Eligibility to Become a Reseller

You are eligible to become a Currenomy reseller only if you hold an active annual subscription for the current subscription year.

• Reseller status is activated from the date your annual subscription payment is successfully processed.
• Monthly subscribers, and annual subscribers whose status has expired, are not eligible for reseller status.
• We reserve the right to deny or revoke reseller status at our sole discretion.

2. Referral Codes

Upon activation, you will receive a unique referral code. You may share this code with prospective subscribers.

• A prospective subscriber who signs up using your referral code becomes a downstream subscriber of yours.
• Referral codes may not be advertised in a manner that is deceptive, misleading, or that implies affiliation with Currenomy beyond the reseller relationship.
• You may not use your own referral code for self-referrals or to generate artificial commissions.

3. Commission Eligibility and Rate

Commission is determined by your reseller status at the moment each downstream subscriber pays, at a rate of 25% of the applicable downstream payment.

Your status at the time of the downstream payment	Commission outcome
Active	25% commission earned.
Grace	25% commission is earned but held (see Section 5).
Expired	No commission is earned — the entire payment, including the full value of any annual subscription taken by the downstream subscriber during this period, belongs to Currenomy in full.

Once a payment is attributed, the outcome is final and will not be changed by any later change in your reseller status.

4. Grace Period

If your annual subscription expires and you do not renew:

• You receive a 30-day grace period starting from your expiry date.
• During grace, you retain limited access, and commissions from downstream subscribers are held (not yet payable).
• If you renew within the 30-day period, held commissions are released to your balance, subject to the $100 minimum payout (Section 7).
• If you do not renew within 30 days, your status becomes expired and held commissions are forfeited in full.

5. Reactivation and Realignment

You may be reactivated as an active reseller by paying your annual subscription again.

• Upon reactivation, your status returns to active for a new subscription year.
• Downstream subscribers who joined under your referral code and remain on record will realign with your reseller status.
• Reactivation does not restore commissions for payments made while your status was expired.

6. Downstream Annual Subscriptions During Inactive Status

If a downstream subscriber purchases an annual subscription while your reseller status is expired, the entire annual commission is not your entitlement and belongs to Currenomy in full, as set out in Section 3.

7. Payouts

Earned commissions are credited to your reseller balance. Payouts are made only when your withdrawable balance — commissions that have passed the applicable downstream refund/vesting window of 40 days — reaches the minimum of $100, and your status is active.

• Commission from a downstream payment remains held until that payment's 40-day vesting window has passed.
• If the downstream subscriber receives a refund or chargeback during that window, the corresponding commission is clawed back from your balance.
• Commissions earned during your grace period are held and released only if you renew within the 30-day grace period, subject to the $100 minimum; otherwise they are forfeited in full.
• Released commissions remain subject to the $100 minimum payout and the 40-day vesting window above.
• Payouts are processed only while your status is active.

8. Termination

We may suspend or terminate your reseller status, withhold commissions, or invalidate referral codes if you violate these Terms or engage in conduct detrimental to the platform or its users.

9. No Affiliation

Resellers are independent parties and are not employees, agents, or partners of Currenomy. You have no authority to bind Currenomy, and Currenomy is not responsible for any statement you make regarding its services.

10. Governing Law

These Reseller Program Terms are governed by and construed in accordance with the laws of England and Wales.
